Position Summary

The Vice President of the Board of Directors serves as a key leadership officer of Karina Association and supports the President in advancing the organization’s mission, governance responsibilities, and strategic direction. The Vice President acts on behalf of the President when necessary and plays an active role in strengthening board engagement, oversight, and accountability.

Primary Responsibilities

1. Governance & Leadership

  • Assist the President in leading Board meetings and governance functions.

  • Preside over meetings in the President’s absence.

  • Support effective board operations and adherence to bylaws and policies.

  • Ensure Board decisions align with the mission and strategic goals of Karina Association.

2. Strategic Planning & Oversight

  • Participate in strategic planning and long-term vision development.

  • Monitor progress toward organizational goals and initiatives.

  • Support innovation and growth of services (CDS, ES, SDS, VR initiatives, etc.).

  • Assist in evaluating organizational performance and risk management.

3. Executive Support & Collaboration

  • Serve as a leadership partner to the President and Executive Director.

  • Provide counsel and guidance to strengthen governance practices.

  • Act as liaison between Board committees when needed.

  • Step into leadership responsibilities during transitional periods if necessary.

4. Board Engagement & Development

  • Promote active participation of Board members.

  • Support recruitment and onboarding of new Board members.

  • Encourage ethical leadership and fiduciary responsibility.

  • Foster a collaborative and respectful Board culture.

5. Compliance & Fiduciary Responsibility

  • Uphold compliance with Maryland nonprofit law, IRS regulations, and DDA/Medicaid guidelines.

  • Support financial oversight and transparency.

  • Review policies and governance documents periodically.

Qualifications

  • Commitment to the mission of Karina Association.

  • Leadership, strategic thinking, and collaborative skills.

  • Understanding of nonprofit governance principles.

  • Ability to dedicate time for meetings, preparation, and strategic initiatives.

  • Professional experience in leadership, management, finance, healthcare, disability services, law, or related fields is preferred.

Time Commitment

  • Attendance at regular Board meetings (monthly/quarterly).

  • Participation in strategic planning sessions.

  • Committee involvement as assigned.

  • Availability for consultation as needed.

Term of Service

  • As outlined in the Bylaws of Karina Association.

  • Eligible for re-election per Board governance policies.

Reporting Structure

  • Reports to the Board of Directors.

  • Works closely with the President and Executive Director.
